1. Agreeing to these terms

These Terms of Service ("Terms") are an agreement between you and Nexora Technologies LLC ("Nexora," "we," "us"). They cover your use of our website, AI Headshots, and our other apps (the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.

2. Who can use Nexora

You must be at least 18 years old and able to form a binding contract. If you use Nexora for a company, you confirm you're authorized to accept these Terms on its behalf.

3. Your account

Give us accurate information and keep your login details private. You're responsible for activity on your account. Tell us right away at support@nexoratechsystems.com if you think someone else has accessed it.

4. Rules for what you upload and create

You agree that you will only upload photos of yourself, or of other adults who have given you clear permission to use their photos with Nexora. You will not use the Services to:

• Create images or videos of another person without their consent, or impersonate anyone.
• Create images of public figures, celebrities, or politicians.
• Upload or create images of anyone under 18.
• Create sexual, nude, or sexually suggestive content.
• Create content that is violent, hateful, harassing, or defamatory, or that promotes illegal activity.
• Create fake identification documents, or use images to deceive, commit fraud, or get around identity checks.
• Upload content you don't have the rights to, or that infringes someone else's copyright, trademark, or privacy.
• Hack, overload, reverse-engineer, or scrape the Services, or resell access without our permission.

We may use automated tools and human review to detect content that breaks these rules. We may remove content, refuse to generate it, and suspend accounts that break them.

5. Your content and ownership

• What you upload: you keep ownership of your photos and prompts. You give Nexora a limited license to store and process them only to provide the Services to you. This license ends when your content is deleted.
• What you create: as between you and Nexora, you own the images, videos, slides, and documents you generate ("Outputs"), and you may use them for personal or commercial purposes, as long as your use follows these Terms and the law.
• Showcasing: we will never use your photos or Outputs in our marketing unless you give us separate, written permission.

Copyright laws for AI-generated content are still developing, so we can't guarantee that Outputs are protected by copyright in every country.

6. How AI results work

Outputs are created by artificial intelligence. They may not look exactly like you, may contain visual errors, and may look similar to images created for other users. Review Outputs before you use them, especially for professional or official purposes. Don't use AI headshots where a real, unaltered photo is required, such as a passport, driver's license, or other government ID.

7. Payments, credits, and refunds

• Prices: prices are shown before you buy and are charged in U.S. dollars. Payments are processed securely by our payment provider.
• Credits: credits are used to generate content. They have no cash value, can't be transferred, and may expire as stated at purchase.
• Subscriptions: subscriptions renew automatically until you cancel. You can cancel anytime from your account, and you'll keep access until the end of the current billing period.
• Refunds: if your order fails to generate or has a technical problem, contact us within 14 days and we'll regenerate it or refund you. Because generating images uses real computing costs, we generally don't refund completed orders just because you don't like the style. We review every request fairly, and refunds are always available where the law requires them.

8. Nexora's property

The Services, including our software, design, logos, and the Nexora name, belong to Nexora and are protected by law. These Terms don't give you any rights to them except to use the Services as intended.

9. Suspension and termination

You can stop using Nexora and close your account at any time. We may suspend or close your account if you break these Terms, if required by law, or to protect other users. If we close your account without a good reason related to your conduct, we'll refund any unused prepaid credits.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent allowed by law, Nexora disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise the Services will always be available, error-free, or that Outputs will meet your expectations.

11. Limitation of liability

To the fullest extent allowed by law, Nexora will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Nexora's total liability for any claim related to the Services is limited to the greater of the amount you paid Nexora in the 12 months before the claim, or $50. Some places don't allow these limits, so they may not fully apply to you.

12. Indemnity

If someone brings a claim against Nexora because of content you uploaded, how you used Outputs, or your breach of these Terms, you agree to cover Nexora's reasonable losses and legal costs related to that claim.

13. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules. Before filing a claim, please email us so we can try to resolve the issue informally within 30 days. Any dispute that isn't resolved will be handled in the state or federal courts located in Georgia, unless the law where you live gives you the right to bring it elsewhere. You may also bring an individual claim in small-claims court.

14. Changes to these terms

We may update these Terms as Nexora grows. We'll change the date at the top of this page, and for significant changes we'll notify you by email or in the app before they take effect. Continuing to use the Services after that means you accept the updated Terms.
